2.1.    www.hfleducation.org is a site operated by Herts fort Learning Limited ("We") trading as HFL Education. We are registered in England and Wales under company number 08419581 and have our registered office at 1st Floor West, Abel Smith House, Gunnels Wood Road, Stevenage, Hertfordshire, SG1 2ST. Our main trading address is also 1st Floor West, Abel Smith House, Gunnels Wood Road, Stevenage, Hertfordshire, SG1 2ST. Our VAT number is GB164460021.

3. The website

3.1.    We may update and change our site from time to time to reflect changes to our products, our users' needs and our business priorities. We will try to give you reasonable notice of any major changes.

3.2.    We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

3.3.    You are responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

3.4.    Our site is directed to people residing in England. We do not represent that content available on or through our site is appropriate for use or available in other locations.

You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

3.6.    If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

3.7.    Herts for Learning expressly reserves the right to terminate registration to the hertsforlearning.co.uk website (either completely or for individuals) at any time and for any reason and Herts for Learning shall have no liability whatsoever for restricting or removing such access.

3.8.    Herts for Learning may alter without notice the arrangements for access to this website or change the content, presentation and/or facilities of this website.

4. User accounts

4.1.    If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

4.2.    We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

4.3.    If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at info@hfleducation.org

5.1.    We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

5.2.    You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation to content posted on our site.

5.3.    Any copies of these pages saved to disk or to any other storage medium may only be used for subsequent viewing purposes or to print extracts for your own personal, non-commercial use.

5.4.    You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

5.5.    Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

7.2.    Herts for Learning does not endorse any linked entities nor authorise any act which may be in breach of copyright or any other third party rights which are protected in law or by international treaties world-wide. Herts for Learning Ltd does not accept any responsibility or liability for privacy practices or the content on any third party website.

7.3.    Users should not set up links from their own websites to any part of the Herts for Learning website (whether by hypertext linking, deep-linking, framing, tagging or otherwise) without the prior written consent of Herts for Learning Ltd. Any request for consent to link to the www.hfleducation.org website should be sent by email to info@hfleducation.org. Herts for Learning may, at its absolute discretion, and without providing a reason, grant or withhold such consent.

7.4.    You should not assume that because you reached our website via a link from a third party site that Herts for Learning has given its consent to such a link.

7.5.    You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

8. User generated content

8.1.    This website may include information and materials uploaded by other users of the site, including to bulletin boards and chat rooms. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values.

8.2.    Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy.

8.3.    You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

9. Liability and indemnity

9.1.    Herts for Learning Ltd shall not be liable for any direct, special, indirect or consequential or incidental damages including loss of profit or loss of opportunity as a result of the use of or the inability to use any items that have been ordered on this website.

9.2.    You agree to indemnify us and our agents, officers, directors and employees, immediately and on demand, against all claims, liability, damages, costs and expenses, including legal fees, arising out of any breach of any of our terms and conditions.

9.3.    We are not responsible for viruses and you must not introduce them

9.4.    We do not guarantee that our site will be secure or free from bugs or viruses.

9.5.    You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

9.6.    You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site.

9.7.1.    You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

9.9.3.    Herts for Learning will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

10. Trademarks and copyrights

10.1.    All brand names, product names and/or service names used in this website are trademarks, trade names, service marks or copyrights of Herts for Learning Ltd. Any use of any such brand name, product name and/or service name without the express, prior, written consent of Herts for Learning Ltd may constitute an infringement of those rights and Herts for Learning Ltd gives no permission for the use of any such item in any way whatsoever.

10.2.    "Herts for Learning", “Early Years Outcomes Toolkit”, “Investors in Parents”, “Parent2Parent (P2P)” and "Exchanging Excellence" are UK registered trademarks of Herts for Learning Limited. You are not permitted to use them without our approval.

11. Rights of third parties

11.1.    Unless the right of enforcement is expressly provided it is not intended that a third party should have the right to pursue any right under this Contract pursuant to this Contracts (Rights of Third Parties) Act 1999.

12. Invalidity of terms

12.1.    If any provision of these terms and conditions shall be unlawful, void or unenforceable for any reason then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

13. Changes to these terms and conditions

13.1.    Herts for Learning may add to or change these terms and conditions. It is your responsibility as a user to refer to these terms and conditions on accessing this website. Changes will be effective immediately after posting to this website and you will be deemed to have accepted any change if you continue to access this website after that time.

13.2.    Herts for Learning reserves the right to change these terms and conditions at any time without prior notice by amending these online.

14. Law

14.1.    These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.2.    Not withstanding the provisions of paragraph 14.1 (above), should this website be accessed by anyone outside of England and Wales, it shall be that person's responsibility to ensure compliance with any locals laws to the extent that they do or may apply.
